# Terms of Service

These Terms of Service ("Terms") govern your access to and use of Lazu, an AI model API aggregation, routing, usage, and billing service provided and operated by DUBRIO LLC ("DUBRIO," "we," "us," or "our"). By creating an account, accepting these Terms, or using Lazu, you agree to be bound by them. If you do not agree, do not use the service.

## 1. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into these Terms. If you use Lazu for an organization, you represent that you have authority to bind that organization, and "you" includes that organization. You are responsible for ensuring that your use is lawful where you operate.

## 2. The Service

1. Lazu provides a unified API and console for accessing third-party AI models, routing requests, issuing API keys, measuring usage, managing balances, and reviewing billing and operational records.
2. Models are provided by independent model providers. Availability, capabilities, context limits, data practices, output, latency, and pricing can differ by model, provider, region, and route.
3. Routing may select a provider automatically according to the model, route, account settings, availability, and operational policies displayed or documented by Lazu.
4. We may add, change, limit, suspend, or discontinue models, routes, or features. We will provide reasonable notice when a material change allows it, but urgent security, provider, or reliability changes may take effect immediately.

## 3. Accounts and Authentication

1. You must provide accurate account information and keep it current. Passwords are stored as one-way hashes, but you remain responsible for protecting your credentials, sessions, email account, and API keys.
2. Lazu may offer password sign-in, Google Sign-In, GitHub Sign-In, or an administrator-configured enterprise identity provider. Third-party sign-in is optional and is also governed by the provider's terms and privacy policy.
3. A verified email or external account may be used to create or link a Lazu account. You must not connect an identity you do not control or attempt to take over another account.
4. Payment does not by itself establish identity, transfer ownership of an account, or authorize collection beyond the purposes described in the Privacy Policy.
5. Notify `support@lazu.ai` promptly if you suspect unauthorized access. We may require reasonable verification before changing identity, billing, or recovery information.

## 4. API Keys and Acceptable Use

You are responsible for all activity performed through your account and API keys. You must not:

1. violate applicable law, third-party rights, model-provider policies, or published Lazu policies;
2. use the service to facilitate malware, unauthorized access, fraud, harassment, exploitation, or other unlawful or harmful conduct;
3. bypass rate limits, quotas, billing, safety controls, access controls, or technical restrictions;
4. probe, scan, disrupt, overload, scrape, reverse engineer, or interfere with the service except as expressly permitted by law or written authorization;
5. share, sell, lease, or transfer an account or API key, or resell Lazu access without written authorization; or
6. misrepresent the source, ownership, legality, or permitted use of content submitted through the service.

We may apply rate limits, spending limits, model restrictions, and other safeguards to protect users and the service.

## 5. Your Content and Model Outputs

1. You retain any rights you have in content you submit. You grant DUBRIO the limited rights necessary to transmit, process, route, store when requested, and otherwise handle that content solely to provide, secure, support, and comply with law for the service.
2. Requests may be sent to the model provider selected by you or by the configured route. Provider terms and data policies also apply to their processing. You are responsible for selecting routes appropriate for your data and compliance needs.
3. You must have all rights, notices, permissions, and lawful bases needed to submit content, including personal, confidential, copyrighted, or regulated information.
4. DUBRIO does not claim ownership of your inputs or model outputs and does not use them to train models. Third-party model providers may apply different retention or training practices; review the policy applicable to the selected provider and route.
5. AI outputs may be inaccurate, incomplete, biased, offensive, or unsuitable. They do not constitute legal, medical, financial, or other professional advice. You are responsible for reviewing outputs and for decisions or downstream uses based on them.

## 6. Pricing, Credits, and Payments

1. Usage is charged according to the price shown for the selected model and route at the time of use. Metering units can include input or output tokens, cached tokens, images, audio, video, requests, duration, or other disclosed units.
2. Lazu credits represent prepaid service usage, are not legal tender or a bank deposit, have no cash value outside Lazu, and are not transferable between accounts unless we expressly permit it.
3. Card top-ups are processed through Stripe Checkout. Stripe, not Lazu, collects complete card details. You authorize the applicable charges, taxes, fees, and payment-provider processing needed to complete your purchase.
4. If Lazu later displays a stablecoin or other onchain payment option, that option applies only while it is actually offered at checkout. You must use the supported asset, network, amount, and payment deadline. Onchain confirmations are generally irreversible, and refund availability, network fees, and processing times can differ from card payments. Lazu will never ask for your private key or seed phrase.
5. Consumed credits are non-refundable except where required by law or caused by a confirmed Lazu billing error. Refunds of unused purchased credits, if available, follow the refund terms displayed by Lazu at the time of purchase and applicable law. Promotional or bonus credits may be non-refundable. First-top-up bonuses and referral rewards are Lazu credit only: they cannot be withdrawn, transferred, or exchanged for cash, and we may void them where we find abuse.
6. You are responsible for reviewing usage, securing keys, and setting available limits. A compromised or shared key can create valid usage charges until it is disabled.
7. We may correct confirmed metering or ledger errors and will provide a corresponding account record. Fraudulent payments, abusive chargebacks, payment-provider reversals, or high-risk onchain transactions may result in balance adjustment or account restriction.

## 7. Service Availability

The service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted availability, a particular provider or model, error-free output, or fitness for a particular purpose. Maintenance, provider incidents, network conditions, legal requirements, and security events may affect service. Service-status, route, and pricing information displayed by Lazu is the current operational source of truth where available.

## 8. Suspension and Termination

We may restrict or suspend access when reasonably necessary to address security risk, nonpayment, abuse, legal requirements, provider-policy violations, or a material breach of these Terms. Where appropriate, we will explain the reason and available recovery step. We may terminate repeated or serious violations.

You may stop using Lazu and request account deletion at any time. Data handling after closure is described in the Privacy Policy. Termination does not erase payment obligations, valid usage charges, or provisions that by their nature should survive.

## 9. Intellectual Property

Lazu software, interfaces, documentation, trademarks, and service materials are owned by DUBRIO LLC or their respective licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the hosted service and documentation for your own lawful purposes. Open-source components remain governed by their applicable licenses.

## 10. Privacy

Our [Privacy Policy](https://lazu.ai/privacy) explains how we collect, use, retain, and share information, including Google account data, API usage records, model-provider transfers, and Stripe transactions or future onchain payment information. It forms part of these Terms.

## 11. Disclaimers and Liability

To the maximum extent permitted by applicable law, DUBRIO disclaims implied warranties and is not liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, data, goodwill, or business opportunity arising from the service. Nothing in these Terms excludes liability that cannot lawfully be excluded or limits rights that applicable consumer law makes mandatory.

## 12. Changes to These Terms

We may update these Terms as the service, providers, or legal requirements change. We will publish the current version and provide additional notice of material changes. Changes take effect on the stated effective date. If you do not agree to updated Terms, you must stop using the service before they take effect.

## 13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, where DUBRIO LLC is registered, without regard to conflict-of-laws principles, except where mandatory local law applies. The parties will first try in good faith to resolve disputes informally; unresolved disputes may be submitted to a court of competent jurisdiction.
